Salary: £35000 - £40000 per annum

We are an independent professional services firm which looks after the affairs of a portfolio of businesses and private clients worldwide. Services offered include taxation, audit, accountancy and outsourcing, company and trust management, and corporate finance.

We are looking to recruit a Company Secretary, reporting to the Head of Corporate and Legal. You will be involved in providing a comprehensive company secretarial and administration service to the group and its clients.

As a Company Secretary, your responsibilities will include:

Key responsibilities

o Providing technical, secretarial and legal support to the Corporate and Legal Department;

o Assisting with the Incorporation, dissolution and the administration of Companies in various jurisdictions;

o Drafting board minutes and shareholder resolutions; appointment and resignation of directors and LLP members

o Liaising with other professional advisers such as accountants and notaries;

o Maintaining statutory books, including registers of members, directors and secretaries;

o Filing statutory forms (such as Confirmation Statements), accounts and related documentation with Companies House;

o Dealing with the appointment and resignation of Officers; and

o Assisting with the maintenance and updating of the Corporate and Legal Departments know-how and development of best practice.

o Assisting with the management of relevant Ad Hoc projects

o This role would also include some project-based work and maintenance of corporate governance arrangements for the group.

Skills and experience

Essential

o Degree educated

o A sound knowledge of the Companies Act is essential.

o At least 2+ years in a similar position

o Candidates should possess diplomacy, meticulous attention to detail, good numerical skills, organisational and time management skills and a genuine interest in our business.

o Excellent computing, secretarial, interpersonal, team working and written/verbal communication skills are also important
