Head of Commercial Contracts Key Responsibilities:

General.

+ Review, draft and negotiate terms in a variety of agreements primarily with clients, but also including supplier contracts, agency contracts and service provision agreements.
+ Negotiate contract terms in line with business requirements and company policies to ensure agreements are commercially reasonable.
+ Provide practical advice, guidance and support to the business on commercial matters, contract terms and legal issues.
+ Managing the renewal/renegotiation of all contracts (supplier and customer).
+ Ensure company's standard contractual terms and approach are kept up to date with changes in business, legal and regulatory requirements.
+ Manage and maintain company's contracts register and repository, including all customer and supplier agreements to ensure all key terms are readily accessible and all agreements captured centrally.
+ Ongoing contract management on in-flight projects with the Account Execs / Project Managers, i.e. a regular review on status, are we raising formal CRs when we should, dependency management, protecting ourselves against potential risks.
+ GDPR legal expertise, risk management and advice on projects.
+ Annual fee rate and charges review and writing to clients with the applicable increases.
+ Maintaining the fee rate card(s) and updating annually.
+ Bid / RFP pricing, review and approval process.
+ Developing new contractual arrangements to cover new business requirements, e.g. full managed service.

Other.

+ Keeping employment & contractor contracts up-to-date, and developing them to meet business requirements, e.g. on IR35.
+ Reviewing apprenticeship, recruitment and other HR-related agreements.
+ Understanding TUPE legislation.
+ Maintaining relationship with WPP Legal.
+ Management responsibility of one other employee.

We need you to be really great at:

+ Legal training (for-example, law degree, LPC, GDL) to enable good understanding and application of legal principles;
+ Extensive experience across commercial agreements, preferably in the IT industry;
+ Good knowledge of contract law;
+ Good negotiation skills, able to use appropriate skills and knowledge to facilitate positive business outcomes and maintain positive relations with customers and suppliers;
+ Good business judgement, understands commercial pressures and implications;
+ Strong organisation and time management skills; able to juggle multiple demands and priorities successfully;
+ Adaptable and able to work flexibly in the context of a large growing business; approachable and a team-player, works with others to share knowledge and workload appropriately.
+ High level of attention to detail;
+ Excellent written and oral communication skills and in particular, able to communicate appropriately with key stakeholders and clients / other external parties without using jargon or overly legalistic language to facilitate good understanding by all parties;
+ Able to write clear, concise and understandable communications include legal agreements and associated correspondence;
+ Computer literate with advanced Microsoft Word, Excel, and Email skills;
